Ameron’s main product lines are high performance coatings, large diameter engineered steel and concrete pipe, heat and corrosion resistant fiberglass pipe, and concrete composite and steel poles for traffic and street light purposes. Integral member of the company’s senior staff, responsible for handling a large variety of legal matters affecting the business, including advising senior executives regarding acquisitions, environmental, antitrust, intellectual property, product liability, human resources, and litigation issues. Duties included drafting acquisition and divestiture agreements, joint venture/development agreements, licensing agreements, real estate purchase and sale agreements, confidentiality agreements, consulting agreements, equipment purchase agreements and leases, long term supply agreements, distributorship agreements, manufactures representative agreements, and all other major national and international contracts needed by the company. Key member of each division's Leadership Committee and solely responsible for handling all legal matters affecting the businesses, including advising senior executives regarding business development, antitrust, intellectual property, product liability, human resources, litigation, and regulatory compliance issues. Duties included drafting acquisition and divestiture agreements, joint venture/development agreements, real estate purchase and sale agreements, confidentiality agreements, consulting agreements, licensing agreements, equipment purchase agreements and leases, long term supply agreements, distributorship agreements, and all other major national and international contracts needed by the company. Also responsible for making management presentations and providing preventive law training to executives and managers. Responsible for all of AlliedSignal’s environmental litigation, enforcement and regulatory compliance matters in the western region of the U.S., Canada, Mexico, and the Pacific Rim. Solely responsible for handling governmental CERCLA actions, multi-party contribution litigation/claims, RCRA enforcement proceedings, and RWQCB/DTSC investigations. Duties include supervising outside counsel, negotiating settlements, drafting environmental cleanup, indemnity and access agreements, and handling real estate sales, purchases and leases.
